IMPORTANT - READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or single entity) and SAS ETHICSPORTS Corporation or one of its subsidiaries ("ETHICSPORTS SAS") on ETHICSPORTS SAS software that accompanies this EULA, which includes computer programs and may include associated media, printed materials, documentation "online" or electronic form and Internet services (the " software "). The Software may be accompanied by an amendment or addendum to this EULA.
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE WITH THESE TERMS, PLEASE DO NOT INSTALL, COPY OR USE THE SOFTWARE. HOWEVER, YOU MAY RETURN IT TO THE PLACE WHERE YOU OBTAINED ARE YOU IN ORDER TO OBTAIN A FULL REFUND, IF APPLICABLE.
1. GRANT OF LICENSE. ETHICSPORTS SAS grants you the following rights provided that you comply with all the terms of this EULA:
1.1 Installation and use. You are authorized to install, use, access, display and run one copy of the Software on a single computer, such as a workstation, terminal or other device (the "Workstation Computer"). The Software may not be used by more than two (2) processors at the same time on a single Workstation Computer.
1.2 Mandatory Activation. The license rights granted to you under this EULA are limited to thirty (30) days after your initial installation of the Software unless you supply information required to activate your licensed copy in the manner described during the installation of the Software. You can activate the software by Internet or telephone toll charges may apply. It is possible that you may also need to reactivate the Software if you modify your computer hardware or software. This Software contains technology intended to prevent unlicensed use of the Software. SAS ETHICSPORTS use these technologies to see if you have a validly licensed copy of the Software. If you are not using a licensed copy of the Software, you are not allowed to install the Software or its subsequent updates. During this process, ETHICSPORTS SAS retrieve your Workstation Computer any information that could personally identify you.
2. AUTOMATIC INTERNET SERVICES. The Software features described below are enabled by default to allow automatic connection via Internet to computer systems ETHICSPORTS SAS without a notification is sent to you. You consent to the operation of these features, unless you choose to disable or not use them.
ETHICSPORTS SAS collects no personally identifying information through these features.

In-Tactic 2.1 Features Update. If you connect hardware to your Workstation Computer, it may not have the drivers needed to communicate with that hardware. The functionality of the Software Update provides the latest enhancements with appropriate ETHICSPORTS SAS and install them on your device. You can disable this functionality update.
2.2 Features of Web content. With the default configuration of the software, if you are connected to the Internet, several features of the Software are enabled by default to retrieve and display content from computer systems ETHICSPORTS SAS. When you enable these features, they use standard Internet protocols which transmit the type of operating system, browser and language code of your Workstation Computer to computer systems ETHICSPORTS SAS, so that the content can be properly displayed on your Workstation Computer. These features only operate when you activate them, and you can choose to disable or not use them. The Windows Catalog, Search Assistant and features News and Research Center for assistance and support are part of these features.
2.3 Certificates digital. The Software uses digital certificates based on the X.509 standard. These digital certificates confirm the identity of Internet users sending encrypted information x.509 standard. The software retrieves certificates and updates certificate revocation lists. These security features operate only while using Internet.
2.4 Updating the root certificates. This feature updates the list of trusted certificate authorities. You can disable this functionality update.
3. COPYRIGHT AND OWNERSHIP. Any rights not expressly granted to you are not in this EULA are reserved by ETHICSPORTS SAS. The Software is protected by copyright laws and international treaties on copyright and intellectual property. Property rights, copyrights and other intellectual property rights in the Software belong to ETHICSPORTS SAS or its suppliers. The Software is not sold but licensed.
4. LIMITATIONS ON REVERSE ENGINEERING, DECOMPILATION AND DISASSEMBLY. You are not allowed to reverse engineer the Software, or decompile disassemble, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
5. NO RENTAL / HOUSING FOR COMMERCIAL PURPOSES.
You are not allowed to lend or rent the Software or provide commercial hosting services with the Software.
6. LINKS TO THIRD PARTY SITES. You are authorized to use the Software to access third party sites. The third party sites are not under the control of ETHICSPORTS ETHICSPORTS SAS SAS is not responsible for the content of these sites, the links they contain or any changes or updates that are made. ETHICSPORTS SAS is not responsible for webcasting or any other form of transmission received from any third party site. ETHICSPORTS SAS is providing these links to third party websites for your convenience only, and the inclusion of any link does not imply endorsement of that site by ETHICSPORTS SAS.
7. ADDITIONAL SOFTWARE / SERVICES. This EULA applies to updates, supplements, add-ons, helpdesk software or Internet service made available by SAS ETHICSPORTS after the date you obtain your initial copy of the Software, unless of other conditions applicable to them. ETHICSPORTS SAS reserves the right to discontinue any Internet service provided or made accessible through the Software.
8. UPDATES. To use a Software presented as an update, you must have a license to use the software identified by SAS as ETHICSPORTS may be subject to updating. As of this update, you may no longer use the software that founded your right to update.
9. RESALE SOFTWARE. If the Software is labeled "Not For Resale" or "NFR" (Not For Resale), you are not permitted to resell or transfer for consideration, or to use it for purposes other than demonstration test or evaluation.
10. SOFTWARE VERSION IN EDUCATION. To use a Software labeled "Academic Edition" or "AE" (Academic Edition), you must have the status of "Qualified Educational User" (Qualified Educational User). 11. NOTICE ABOUT THE MPEG-4 VISUAL. THE SOFTWARE INCLUDES VISUAL TECHNOLOGY DECODING MPEG-4. THIS TECHNOLOGY IS A FORMAT FOR DATA COMPRESSION VIDEO. FOR THIS TECHNOLOGY, MPEG LA, LLC REQUIRES THE FOLLOWING: USE OF THIS PRODUCT IN ACCORDANCE WITH THE MPEG-4 VISUAL STANDARD IS PROHIBITED, EXCEPT THIS IS FOR USE DIRECTLY RELATED TO (A) DATA OR INFORMATION (I) GENERATED BY AND OBTAINED WITHOUT CHARGE FROM A CONSUMER NOT THEREBY ENGAGED IN A BUSINESS ENTERPRISE, AND (ii) FOR PERSONAL USE ONLY, AND (B) OTHER USES WHICH SUBJECT SPECIFIC LICENSES AND SEPARATELY LICENSED BY MPEG LA, LLC

12. EXPORT RESTRICTIONS. You acknowledge that the Software is subject to French regulations relating to exports. You agree to comply with all laws and regulations applicable national and international force in the Software in FRANCE, and restrictions imposed by the governments of other countries for end users, end-use and destination. 13. PROOF OF END USER LICENSE. If you acquired the software on a CD or any other media, a genuine label "Proof of License" ETHICSPORTS of SAS with a genuine copy of the software identifies a copy of the Software acquired under license. To be valid, this label must appear on the packaging of the software ETHICSPORTS SAS. If you receive separately, it is invalid. You should keep the packaging that is labeled to show that you are authorized to use the Software.
14. SOFTWARE TRANSFER. Internal transfer. You are allowed to move the software to another computer workstation. Once the transfer is complete, you must completely remove the Software on the Workstation Computer on which it was previously installed. Transfer to a third party. The initial user of the Software is authorized to transfer this EULA and the Software only once, on a permanent basis to another end user, provided that they retain no copies of the Software.
This transfer must include the Software and proof of license label. The transfer shall not be made through a consignment or any other indirect transfer. Before the transfer, the recipient of the Software must agree to comply with all the terms of this EULA.
15. TERMINATION. Without prejudice to any other rights, ETHICSPORTS SAS may terminate this EULA if you fail to comply with the terms. In this case, you must destroy all copies of the Software and all of its components.
16. NOTE ON SAFETY. To help protect against security breaches and malware, make regular backups of your data and system information, use security features such as firewalls, and install and use updates safety.
17. LAW. If you acquired this Software in FRANCE, this EULA is governed by French law. If you acquired this Software in the European Union, Iceland, Norway or Switzerland, then local law applies. If you acquired this Software in any other country, then local law may, if necessary, apply.
18. ENTIRE AGREEMENT; SEVERABILITY. This EULA (including any addendum or amendment to this EULA which is included with the Software) is the entire agreement between you and SAS ETHICSPORTS the Software and support services (if any), and supersedes and supersedes all previous communications, proposals and representations prior or contemporaneous oral or written, relating to the Software or any other subject matter covered by this EULA. In case the terms of rules or programs ETHICSPORTS SAS related support services would conflict with the terms of this EULA, the terms of this EULA shall control. If any provision of this EULA is found void, invalid, illegal or unenforceable, the remaining provisions of this EULA will remain in full force.
LIMITED WARRANTY - ETHICSPORTS SAS warrants that (a) the operation of the Software will conform substantially to the description in the documentation accompanying the Software for a period of ninety (90) days after the date of receipt, and (b) services supplied by SAS ETHICSPORTS be consistent, for the most part in the description which is made in the applicable documents given to you by ETHICSPORTS SAS, and the Members of the media ETHICSPORTS SAS will make reasonable efforts to resolve any technical difficulties arising from the use of the Software. Some jurisdictions do not allow limitations on how long an implied warranty, so the above limitation may not apply to you. To the extent permitted by applicable law, any implied warranty of the Software, if any, is limited to ninety (90) days.
CUSTOMER REMEDIES - Full responsibility ETHICSPORTS SAS and its suppliers, and your exclusive remedy shall be, at the option of SAS ETHICSPORTS either (a) return of the price paid, if any, or (b) repair or replacement of the Software that does not conform to the Limited Warranty ETHICSPORTS SAS and SAS returned to ETHICSPORTS with a copy of your receipt. This Limited Warranty will not apply if failure of the Software has resulted from accident, abuse or deterioration resulting from improper use. Any software or hardware replacement will be warranted for the original warranty period or for remaining thirty (30) days, whichever is longer applicable. Outside the United States, you can not get these remedies nor any product support services offered by SAS ETHICSPORTS without proof of purchase from an authorized international source.
NO OTHER WARRANTIES - TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ETHICSPORTS SAS AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE, THE ACCOMPANYING WRITTEN MATERIALS AND THE PROVISION OF OR FAILURE TO PROVISION OF SERVICES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.
NO LIABILITY FOR CONSEQUENTIAL DAMAGES - THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ETHICSPORTS SAS OR ITS SUPPLIERS SHALL IN NO EVENT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, OR THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, EVEN IF ETHICSPORTS SAS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 'S LIABILITY ETHICSPORTS SAS UNDER ANY PROVISION OF THIS EULA SHALL NOT EXCEED THE HIGHEST AMONG I) THE AMOUNT YOU PAID FOR THE SOFTWARE OR II) AN AMOUNT EQUAL TO 5 IN FOREIGN CURRENCY EURO. HOWEVER, IF YOU HAVE ENTERED INTO AN AGREEMENT WITH SERVICES ETHICSPORTS SAS, YOU WILL BE BOUND BY THE TERMS OF THIS AGREEMENT.
SAS ETHICSPORTS WARRANTY HEREIN SHALL APPLY IF YOU ACQUIRED THE SOFTWARE IN ANY OTHER COUNTRY:
Warranty ETHICSPORTS SAS. This warranty does not affect any legal rights - The following warranty is not limited to any territory and does not affect any legal rights that you might benefit from your dealer or 'SAS ETHICSPORTS if you acquired the Software directly from ETHICSPORTS SAS.
The guarantee - The Software is designed and offered as a product for general use and is not intended to meet the specific needs of any user. You acknowledge that the Software is not error-free and that we have highly recommended to backup your files regularly. Provided that you have a valid license, ETHICSPORTS SAS guarantees that a) the operation of the Software will conform substantially to the description contained in the written materials accompanying the Software for a period of ninety and ten (90) days from the date of receipt of your license to use the Software or for the shortest duration permitted by applicable law, and b) the support services provided by SAS ETHICSPORTS be consistent, essentially the description which is made in printed documents applicable to you ETHICSPORTS provided by SAS, and engineers support ETHICSPORTS SAS reasonable efforts and will use all their skills to solve any problem before. In the event the Software does not conform to this warranty, ETHICSPORTS SAS may either (a) repair or replace the Software or (b) refund the price you paid. This warranty will not apply if failure of the Software has resulted from accident, abuse or deterioration resulting from improper use. Any replacement Software will be warranted for the remainder of the original warranty period, which runs for thirty (30) days, whichever is longer applicable. You agree that the above guarantee is your sole guarantee for the Software and any support services.
Exclusion of all other terms - the fullest extent permitted by applicable law and subject to the above warranty, ETHICSPORTS SAS excludes all warranties, conditions and other terms, express or implied (whether legal, customary, indirect or otherwise) including but not limited to the implied warranties of satisfactory quality and fitness for a particular purpose relating to the Software and the written materials accompanying the Software. All limited warranties which can not be excluded are limited to ninety (90) days or shorter permitted by applicable law, whichever is longer applicable.
Limitation of Liability - To the maximum extent permitted by applicable law and unless otherwise specified in the Warranty ETHICSPORTS SAS, SAS ETHICSPORTS and its suppliers shall in no event be liable for any damages of any kind (including loss of business profits, business interruption, loss of business information or other pecuniary loss) arising out of the use or inability to use the Software, even if ETHICSPORTS SAS has been advised of the possibility of such damages. In any event, the entire liability of ETHICSPORTS SAS under any provision of this Agreement shall not exceed the amount actually paid by you for the Software. These limitations do not apply to any liability which can not be excluded or limited under applicable law. Applicable Law - This Agreement is governed by French law, unless you acquired this Software in the countries of the European Union, Iceland, Norway or Switzerland, in which case the laws of the country in which you acquired Software will apply.
